DEED OF TRUST FOR EDUCATIONAL AND CHARITABLE PURPOSE
THIS DEED OF DECLARATION of Trust is made at 9th day of November 2003 by
1. Tanniru Venkata Narsimha Rao, S/o Tanniru Krishna Murthy, Aged about
61 Years, residing at Flat No 612, Alpha Block, Jaya Bheri Silicon County, Near
Hitech City, Madapur, Kottaguda Post Office, R R District, Hyderabad-500032,
Occupaion: Retired Scientist, DRDO, Ministry of Defence.
and
2. Shri Tanniru Ramalingeswara Rao, S/o Tanniru Krishna Murthy, Aged
about 63 years, residing at 2655,North Mayfair Road, Milwaukee, Wisconsin-
53226. Occupation: President & CEO of Market Probe.
(Herein after called the Authors of the trust, which expression shall unless
excluded by or repugnant to the context, be deemed to include his executors,
administrators and representatives) of the one part

about 61 Years, Residing at Flat No 612, Alpha Block, Jaya Bheri Silicon County,
Near Hitech City, Madapur, Kottaguda Post Office, R R District, Hyderabad-
500032. Occupation: Retired Scientist D, DRDO, Ministry of Defence.
2. Shri Tanniru Ramalingeswara Rao, S/o Tanniru Krishna Murthy, Aged
about 63 years, Residing at 2655,North Mayfair Road, Milwaukee, Wisconsin-
53226. Occupation: President & CEO of Market Probe.
3. Shri A Gangadhara Rao, S/o A V G Krishna Murthy, Aged about 62 Years,
Residing at B/60, Santosh Nagar Colony, Hyderabad 500 059. Occupation:
Retired Scientist G,from DRDO, Ministry of Defence.
4. Shri Tanniru Venkata Chandrasekhar Rao, S/o Tanniru Krishna Murthy,
and Aged about 49Years, Residing at Dno: 1-6-6 DGP Nagar–2, Nasik.
Maharasthra. Occupation: Engineer.
Hereinafter jointly referred to as “Trustees” (which expression shall include the
survivor or survivors of them and the executors and administrators of the last
survivor or the Trustee or Trustees for the time being of the Trust) of the other
part.
Whereas the Authors are desirous of establishing an Educational and Charitable
trust.
And whereas the Trustees have at the request of the Authors, agreed to act as
the first trustees of these presents as testified by they’re being parties to and
executing these presents. And whereas it is necessary to declare the objects and
terms of the Educational and Charitable trust.
NOW THIS TRUST DEED WITNESSETH as follows:
1. That, in order to effectuate aforesaid desire, the founders had set apart
and handed over to the Trustees, a sum of Rs10,000 (Rupees Ten Thousand
Only) hereinafter called the “Trust Money” which expression shall include cash
and any other property or investments of any kind whatsoever into which the
same or any part thereof might be converted, invested or varied from time to
time or which may be acquired by the trustees or may come to their hands by
virtue of these presents or by operation of law or otherwise howsoever in
relation to these presents, and the trustees shall hold and stand possessed of the
same upon the trust subject to the powers, provisions, agreements and
declarations herein after contained and hold the sum paid to them by the
founders upon Trust to apply the income thereof in perpetuity for the promotion
and encouragement of education in any Universities or Educational Institutions /
Colleges / Schools.
2. The Trust Shall be called as “Tanniru Krishna Murthy & Sitaravamma
Foundation.”(T K &S Foundation). Trustees or the Governing Body of the Trust
shall have no right to change the Name of the foundation. The name of the
foundation shall continue in perpetuity. The name of the Foundation shall be
Irrevocable.
3. The Registered Office of the said Trust shall be at Flat No:- 612, Alpha
Block, Jayabheri Silicon County, Madapur, Kottaguda Post office, R.R.District,
Hyderabad or such other place or places as may be determined by the Trustees.
4. The founders of the Trust shall also be the Trustees during their lifetime.
The management and control of the Trust property shall vest with the Trustees.
5. The objects of the Trust are:
a. To establish, maintain and run Studentships, Scholarships and other kinds
of aid to the students including supply of books, stipends, medals and other
incentives to Financially underprivileged Students in India, without any
distinction as to Caste, Creed, Colour, Race or Sex.
b. To Publish books of Literary, academic and Educative value which
contribute to the objects.
c. To develop a healthy as well as a Critical attitude towards the
Development of Mental, Physical and moral uplift of the Students.
d. To aid Educational Institutions including Graduate, Post Graduate and
Research Institutions, to promote and encourage education and diffusion of
Knowledge in various Universities in India.
e. To receive and accept donations, gifts, subscriptions, grants for various
National, International or Foreign organizations, Government organizations,
Voluntary organizations, Trusts, Societies, Companies, Partnership Firms, and
Individuals towards the Corpus of the Trust or specifically for any particular
objects of the Trust.
f. To cooperate, collaborate, and carry on the objects of the Trust with other
Trusts or Public bodies, or Institutions having similar objects or Governmental
authorities.
g. To charge fees and otherwise recoup themselves for the outlay and
expenses incurred in running various activates carried by the Trust during
promotion of its objectives.
h. Generally to do anything and everything to promote education and
Research in any discipline.
6. The Trustees shall out of the income of the Trust first to pay all costs and
expenses of or incidental to the management of the Trust and the balance
income or the amount as may be decided by the Trustees from time to time shall
be applied in awarding Scholarship.
7. The Trustees depending on the funds generated from the Trust Money
shall award the Scholarships to such number of students as may be selected by
the Trustees from the recommendations made by the Panel, established by the
concerned Universities / Colleges / Educational Institutions in India for the
purpose of awarding Scholarships.
8. The Trustees shall have sole discretion to decide upon the Universities /
Educational Institutions / Colleges situated in India to which the Scholarship
amount shall be distributed during the respective academic Years.
9. The Trustees shall make payments directly to the Registrar / Principal of
the concerned Universities / Colleges / Educational Institutions in India and the
concerned Registrar / Principal shall distribute the same to the Students decided
by the Trustees.
10. The Trust shall have no objection towards students benefiting from other
scholarships or schemes, apart from benefiting through this foundation.
11. The Trustees shall act carefully and cautiously while granting the
scholarships to the students. The Trustees shall examine that the amount of
Scholarship which is being distributed shall be awarded to the respective
student and its not being misutilised by the concerned Universities / Educational
Institutions / Colleges. The amount for scholarships and the number of students
who shall be benefited shall vary accordingly depending upon the availability of
resources, and as decided by the Trustees from time to time.
12. The Trustees shall have the power from time to time to increase the
Corpus of the Trust and invest the same for purposes of applying the Income to
meet the objects of the Trust. All the receipts of the Trust shall constitute the
“Trust Money”.
13. The Trustees shall have the power to borrow funds in furtherance of the
objects of the Trust, from Banks, Financial Institutions and Individuals and
purchase movable and immovable properties or assets on differed payment basis.
14. The Trustees shall stand possessed of the said amount or the Corpus/
Trust Money and such other property (movable and immovable) as may be
acquired from time to time by the Trust by purchase. Exchange, gift, grant,
subscription, endowment, donation, contribution or in any other manner
whatsoever. (All of which shall be designated as the “Trust Properties” of the
Trust herein mentioned).
15. The Trustees shall from time to time frame and make rules and
regulations and / or by-laws for securing and facilitating the administration and
management of foundation relating to the activities and affairs of the Trust and
for conveniently conducting the meetings of the Trustees.
16. The Trustees may appoint sub-committees or various committees, which
may be called the boards of management for running and carrying out the
objects of the Trust. Such boards of Management shall work under the authority
and control of the Board of Trustees.
17. The Trustees shall have the power to appoint or engage persons and at
their discretion, remove, dismiss or suspend the staff of the Trust and its various
departments, institutions and sections.
18. The Trustees shall not be entitled to any remuneration for carrying out
the duties as Trustees. Any particular Trustee shall be entitled to receive
remuneration commensurate with the experience and expert knowledge, such
Trustees may possess to carry on his/her duties where his/her experience or
expert knowledge is utilized by the Trust.
19. The Trustees may elect or nominate one of them as the “ Managing
Trustee” who shall be the Chairman of the Board of Trustees.
20. The Trustees shall have the power to invest the Trust moneys and or to
deposit the Trust moneys or any portion thereof in any nationalized or Scheduled
Bank or Banks by way of Fixed Deposit or in current account, or in savings Bank
account and shall be operated by the two Trustees one of whom shall be
Managing Trustee.
21. For the purposes of carrying out the objects of the Trust the Trustees
shall have the power to acquire by purchase or by lease or by otherwise any
immovable property and in case of vacant land, the Trustees shall be at liberty to
construct buildings thereon, to rebuild or extend any immovable property and to
do all acts necessary and incidental thereto.
22. The Trustees shall be entitled to enter into any agreements or covenants
with the owners of or persons entitled to or entrusted with any other property
and to raise funds for their acquisition.
23. The entire control, regulation, management, application and
administration whether capital or income or rent, interest or otherwise shall be
at the discretion of the Trustees.
24. The Trustees may by resolution delegate any of the powers and duties
either to the Managing Trustee or to any other Trustees, or sub-committees
thereof signifying clearly the extent to which such delegation is operative.
25. The Meetings of the Board of Trustees shall be held atleast once in a year
and any number of meetings may be held as and when considered necessary.
The opinion and consent of the Trustees can also be obtained by circulation of
any motion or resolution. The quorum for the meeting of the Board of Trustees
shall be One Third of the total number of trustees (or) a minimum of two (2)
Trustees personally attending the meeting whichever is higher. As the majority
of the Trustees are situated in different parts of the Country, the agenda and
notices of the meeting of the Board of Trustees shall be sent to them by e-mail
and their approval shall also be obtained over e-mail.
26. In case there is a difference of opinion between the Trustees, the
decision of the majority of the Trustees relating to the Trust shall be binding and
be effectual and shall be carried out. The Chairman of the Board of Trustees
shall have a casting vote in case there is any deadlock on an issue.
27. The proceedings of the meeting of the Trustees shall be recorded as
minutes and the concerned minutes shall be prepared / printed on loose leaf
pages and each page shall be initialed by the chairman of the concerned meeting
duly confirmed by the Trustees attending the meetings. The loose-leaf minutes
shall be bounded later on and shall be kept in the safe custody of the Managing
Trustee.
28. In case of death, inability, incapacity, resignation on the part of any
Trustee to act as such, the remaining Trustees shall be entitled to nominate any
other person as they may think fit and proper.
29. The total number of Trustees shall be atleast Four (4) and if the Board of
Trustees so desire may appoint some more Trustees as and when they feel
necessary. Trustees so appointed under this clause shall have the same powers,
rights and duties as if he / she was originally appointed under these presents.
30. The Trustees shall in no case be liable for any loss to the Trust estate
unless the Trustees are guilty of fraud.
31. Proper and regular books of accounts shall be maintained for all
transactions relating to the Trust and an Income & Expenditure account shall be
made out at the end of 31st day of March every year and a Balance Sheet as on
this date shall be prepared and presented to the Board of Trustees as soon as
after the closure of the year.
32. A Chartered Accountant appointed by the Trustees for this purpose shall
audit the accounts of the Trust.
33. The Trust is irrevocable and if the Trustees find it necessary and
incumbent to dissolve the Trust in public interest, it shall do so, but no party of
the Trust moneys and property shall be paid either to the Trustees or to the
author of the Trust, but shall be transferred to any other Trust or society or
association having similar objectives as that of this Trust.
34. The Trust being a Charitable one shall apply to the concerned
Commissioner of Income tax having jurisdiction and obtain the required
registration so that the contributions to the foundation shall be Tax exempted
under the respective sections of the Income Tax, Act 1962.
35. The objects of the Trust shall not be altered, amended or added without
the permission of the Commissioner of Income tax having Jurisdiction over the
Trust.
36. No part of the Trust fund either the corpus or the income there from shall
be utilized for any purpose other than that of the Trust hereby created.
